01Agreement to these terms
By visiting our website, joining our free community, registering for a live session, submitting an application, booking a call, or purchasing any program or service from us, you agree to these Terms of Service and to our Privacy Policy.
If you do not agree, do not use the site and do not purchase from us.
If you are entering into these terms on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” refers to that entity.
02Who we are
The Bloom Metric, LLC, a Washington limited liability company, is a business education and consulting company. We are not a law firm, an accounting firm, a licensed financial adviser, a broker dealer, a franchise, a multi level marketing company, or a healthcare provider.
03Eligibility
You must be at least 18 years old and able to enter into a binding contract to use our services or purchase from us. Our programs are designed for adults building a business. We do not knowingly sell to minors.
You are responsible for making sure your use of our services is lawful where you live. If it is not, do not use them.
04Accounts and access
- You must give accurate information when you register or purchase, and keep it current.
- You are responsible for keeping your login credentials confidential and for everything that happens under your account.
- Access is for one person. You may not share, resell, transfer, or give away your login, your course access, your community seat, or your coaching slot.
- Tell us immediately if you believe your account has been accessed without your permission.
- We may suspend or terminate access for credential sharing, as described in section 20.
05What we offer
Our current offerings, and what each one is, are listed below. Descriptions on our website and in our marketing are summaries. The specific deliverables for any paid engagement are what is stated in your purchase confirmation, order form, or written proposal, which controls if there is any conflict.
We may change, add, or discontinue offerings at any time. If we discontinue something you have already paid for and have not yet received, we will either deliver a materially equivalent substitute or refund the portion you paid for the undelivered part.
06Pricing and payment
- Currency. All prices are in US dollars unless stated otherwise.
- Taxes. Prices do not include sales, use, VAT, or similar taxes. You are responsible for any that apply.
- Processing. Payments are processed by Stripe. We do not store your full card number. Your use of the processor is also subject to its terms.
- Authorization. By purchasing, you authorize us and our processor to charge your payment method for the full amount, including any scheduled installments.
- Payment plans. Where we offer a payment plan, you authorize each scheduled installment on the dates shown at checkout. The full amount is owed regardless of whether you continue to participate.
- Failed payments. If an installment fails, we will notify you and may retry. If payment is not cured within 7 days, we may suspend access until the balance is current. Suspension does not cancel what you owe.
- Price changes. We may change prices at any time. Changes do not affect a purchase you have already completed.
- Promotions. Discounts and promotional pricing apply only as stated, are not retroactive, and cannot be combined unless we say so.
07Refunds and chargebacks
Read this before you buy
ALL SALES ARE FINAL. WE DO NOT OFFER REFUNDS, PARTIAL REFUNDS, OR CANCELLATIONS ON ANY PAID PROGRAM OR SERVICE.
This is because our programs deliver access to proprietary materials, systems, and our time immediately on purchase, and that access cannot be returned. If you are not certain, do not buy. Book a call and ask us questions first. We would rather you wait a month than buy something that is not right for you.
Limited exceptions
- We fail to deliver. If we discontinue or fail to deliver something you paid for and offer no equivalent substitute, we will refund the portion attributable to what was not delivered.
- Duplicate or erroneous charges are refunded promptly once verified.
- Rights you have by law. Nothing here limits any refund, cancellation, or cooling off right you have under mandatory consumer protection law in your jurisdiction, including any statutory right of withdrawal that applies to consumers in the EEA and the UK. Where such a right applies, it controls over this section.
Chargebacks
If you dispute a charge with your bank or card issuer instead of contacting us first, you agree that this is a breach of these terms. We will:
- Immediately suspend your access to all programs, materials, communities, and platforms.
- Submit your acceptance of these terms, your access logs, and your delivery records to the issuer as evidence.
- Pursue the outstanding balance, plus any chargeback fees we incur and reasonable costs of collection.
If you have a problem, email us first. We answer.
08Our work guarantee
For paid one to one programs, we guarantee our work, not your results.
How it works
If you complete the named deliverables by the named dates in your program plan and you have not reached the defined launch milestone, we will continue working with you at no additional cost until you do.
“Launched” means: your offer is documented, your payment link is live, your delivery process is written, and you have completed a defined number of outreach conversations.
This is not a refund. Under no circumstances does this guarantee result in money being returned to you. It results in more of our time.
The guarantee is conditional. It applies only if you have completed every named action by every named date, attended the scheduled sessions, and kept your payments current. If you have not, the guarantee does not apply. We will tell you in writing at the time if we consider a condition unmet, and you will have a chance to cure it.
09No income or results guarantee
The most important paragraph on this page
WE MAKE NO GUARANTEE, PROMISE, OR REPRESENTATION THAT YOU WILL EARN ANY AMOUNT OF MONEY, SIGN ANY CLIENT, OR ACHIEVE ANY PARTICULAR RESULT FROM OUR PROGRAMS, MATERIALS, OR SERVICES.
Every business result depends on factors specific to you that we do not control, including your market, your existing audience, your skills, your capital, your available time, your effort, your consistency, and general economic conditions. Business involves risk, including the risk of losing money.
Any figures, examples, case studies, or student stories we publish are illustrations of what some people have done. They are not typical, not average, and not a promise of what you will do. We do not track or represent average results.
Nothing we provide is financial, investment, legal, tax, or accounting advice. We are not licensed to give it. Consult qualified professionals before making decisions about your business, your money, or your legal structure.
You are solely responsible for your own business decisions and their consequences.
10What you are responsible for
Our programs are done with you, not done for you, unless a specific service says otherwise. You agree to:
- Show up to scheduled calls, or reschedule with reasonable notice.
- Complete the work between sessions. We can give you the order of operations. We cannot do the reps for you.
- Provide accurate information about your business, your market, and your credentials.
- Obtain your own legal, tax, insurance, and licensing advice for your specific situation.
- Set up and maintain your own accounts with third party tools we recommend, and pay their fees.
- Comply with all laws that apply to your business, including advertising, consumer protection, privacy, and any rules of a professional board you are licensed by.
Unused access. If you stop participating, your access and your payment obligations continue on the original schedule. We do not pause, extend, or credit for non participation unless we agree in writing.
11Professional licenses and scope of practice
If you hold a professional license, read this
We teach business structure, positioning, marketing, and operations. We do not supervise, direct, or take responsibility for your clinical or professional practice.
You are solely responsible for complying with the rules of every board, agency, and jurisdiction that licenses or regulates you. That includes, without limitation, rules on scope of practice, use of professional titles, advertising and testimonials, supervision requirements, delegation, telehealth, corporate practice restrictions, and confidentiality of client or patient information.
Nothing we provide is medical, nursing, clinical, legal, or other professional advice, and nothing we provide should be treated as approval that a particular business model is permitted under your license. If you are unsure whether something is within your scope, ask your board or your own attorney before doing it.
Do not send us protected health information, patient records, or clinical data. We are not a covered entity or a business associate under HIPAA and we will not accept that role. If you send us such information, we will delete it.
You agree to indemnify us for any claim arising from your professional practice or your compliance failures, as described in section 23.
12AI tools and AI generated output
Some of our programs include access to AI agents, prompts, and automations. These are productivity tools. They are not employees, advisers, or licensed professionals.
- Output is not verified. AI generated text, research, drafts, and recommendations can be wrong, outdated, or made up. You must review, fact check, and take responsibility for anything you publish, send, or act on.
- No professional advice. AI output is never medical, clinical, legal, tax, or financial advice, regardless of how it is phrased.
- Never present AI as a licensed professional. You must not configure, deploy, or describe any AI tool in a way that implies it is a licensed clinician or is providing licensed care. Several jurisdictions expressly prohibit this. Your license is the one attached to that conduct, not ours.
- Disclosure. You are responsible for any disclosure your jurisdiction or platform requires when a real person is interacting with an automated system.
- Third party terms. AI tools we integrate are subject to the terms and availability of their own providers, which may change or discontinue without notice to us.
- No exclusivity in output. AI systems can produce similar output for different users. We make no representation that AI generated material is unique to you or protectable.
13Our intellectual property
All course content, curriculum, frameworks, the Bloom Method, templates, scripts, prompts, agent configurations, operations manuals, recordings, worksheets, written material, graphics, and the site itself are owned by us or licensed to us and are protected by copyright, trademark, and other laws.
When you purchase, we grant you a limited, personal, non exclusive, non transferable, revocable license to access and use those materials for your own business only, for as long as your access remains in good standing.
You may not:
- Copy, record, screenshot for distribution, republish, or redistribute our materials
- Share your access with anyone else, including business partners, employees, or family
- Resell, sublicense, or repackage our materials, in whole or in part
- Teach, coach, or build a competing program using our curriculum, frameworks, or materials
- Remove or obscure any copyright, trademark, or attribution notice
- Use our name, logo, or marks except as we permit in writing
These restrictions survive termination. Breaching them causes us harm that money may not adequately fix, and we may seek injunctive relief in addition to any other remedy.
14What you own
This is the point of the whole thing
You own your offer. You own your client list. You own your content and your brand. You own the relationships you build.
We claim no ownership interest in your business, your offer, your customer or lead lists, your intellectual property, or the revenue your business generates. There is no downline, no revenue share, no royalty, and no percentage of what you build.
We do not restrict who you may serve, what you may charge, where you may advertise, or what you may say about your own business, except that you may not misrepresent your relationship with us or use our materials in the ways prohibited in section 13.
If you leave, you take your list, your clients, and your work product with you. Where your data lives on a platform we provided, we will give you a reasonable export in a standard format on written request made within 30 days of your access ending.
Materials we create specifically for you as part of a paid done for you service become yours on full payment, except for our pre existing templates, frameworks, and tools embedded in them, which remain ours and which you may continue to use under the license in section 13.
15Platform and software license
If your purchase includes the Bloom Platform or a white label build, we grant you a limited, non exclusive, non transferable license to use it for your own business for as long as your access is active and your account is in good standing.
- You may present the platform under your own brand where we have configured it for that purpose.
- You may not resell the platform itself, sublicense it, or provide it to third parties as a service, unless we agree in writing.
- You may not reverse engineer, decompile, or attempt to extract source code, except where that restriction is unenforceable by law.
- The platform depends on third party services. We do not guarantee uninterrupted availability and we are not responsible for outages, changes, or discontinuation by those providers.
- You are responsible for the content you put into the platform, and for complying with privacy and marketing law with respect to the people whose data you store in it.
16Acceptable use and community conduct
In our community spaces, on calls, and in any communication with us, you agree not to:
- Harass, threaten, demean, or discriminate against anyone
- Pitch, recruit, spam, or direct message other members with offers without their invitation
- Share other members' information, screenshots, or stories outside the community
- Post anything unlawful, defamatory, infringing, or deceptive
- Impersonate anyone or misrepresent your credentials
- Give medical, legal, or financial advice to other members
- Attempt to gain unauthorized access to our systems, or scrape, crawl, or automate access to our site
- Interfere with or disrupt the site, the platform, or other members' use of them
We may remove content and remove members at our discretion to keep the space useful. Removal for a conduct breach does not entitle you to a refund.
17Feedback, testimonials, and recordings
Feedback. If you send us suggestions or ideas about our programs, we may use them freely without obligation or compensation to you.
Testimonials. We publish your name, likeness, or story only with your written permission. You may withdraw that permission at any time, and we will stop using it going forward in materials we control. Any testimonial you give must reflect your honest experience. You may not be compensated for a testimonial without that being disclosed.
Recordings. We may record group calls and live sessions for the benefit of participants. We will tell you before recording starts. If you do not want to appear, keep your camera and microphone off. You grant us permission to use recordings for delivery to participants and for internal review. We will not use a recording of you in advertising without separate written permission.
You may not record our calls or sessions, or distribute any recording we provide, without our written consent.
18Confidentiality
Both of us may learn confidential information about the other. We will keep confidential the business information you share with us in the course of an engagement, and use it only to deliver your program. You will keep confidential our non public materials, pricing, and the information other members share in community spaces.
This does not apply to information that is public through no fault of the receiving party, was already known without a duty of confidence, is independently developed, or must be disclosed by law. If disclosure is legally required, the disclosing party will give notice where it is lawful to do so.
19Third party services
Our site and programs link to and depend on services we do not control, including Skool, Calendly, our payment processor, our email platform, and the AI providers behind our tools. Your use of those services is governed by their terms and their privacy policies.
We are not responsible for the availability, accuracy, content, security, or practices of any third party service, and we do not endorse them by linking to them. If a third party changes or discontinues a service we relied on, we will substitute a reasonable alternative where we can.
20Suspension and termination
We may suspend or terminate your access, immediately and without refund, if you:
- Breach these terms, including the intellectual property and conduct sections
- Share credentials or distribute our materials
- Fail to pay, or initiate a chargeback
- Harass or endanger any member, participant, or member of our team
- Use our materials or platform for anything unlawful
You may stop using our free services at any time. For paid programs, stopping participation does not cancel your payment obligations. See sections 6, 7, and 10.
On termination, your license to our materials ends immediately and you must stop using them. Sections 7, 9, 11, 13, 14, 18, 21, 22, 23, 24, 25, and 26 survive termination.
21Disclaimers
OUR SITE, PROGRAMS, MATERIALS, PLATFORM, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON INFRINGEMENT.
WE DO NOT WARRANT THAT THE SITE OR PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE, OR THAT ANY CONTENT IS ACCURATE, COMPLETE, OR CURRENT.
Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you. In that case, the excluded warranties are limited to the shortest period the law allows.
22Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER WE NOR OUR OWNERS, CONTRACTORS, OR AFFILIATES WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF OUR SITE, PROGRAMS, PLATFORM, OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY.
OUR TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limits apply regardless of the legal theory and even if a limited remedy fails its essential purpose. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. Nothing here limits liability for fraud, willful misconduct, or anything else that cannot be limited by law.
23Indemnification
You agree to defend, indemnify, and hold harmless The Bloom Metric, its owners, contractors, and affiliates from any claim, demand, loss, liability, damage, cost, or expense, including reasonable legal fees, arising from or related to:
- Your use of our site, materials, platform, or services
- Your breach of these terms
- Your business, including your offers, marketing claims, and dealings with your own clients
- Your professional licensure, scope of practice, or compliance failures
- Your use or deployment of AI tools, including anything an AI tool you deployed said to a third party
- Your violation of any law or the rights of any third party
We will notify you of any claim we seek indemnity for, and you may control the defense with counsel reasonably acceptable to us. You may not settle in a way that admits fault on our behalf or imposes obligations on us without our written consent.
24Dispute resolution and arbitration
This section affects your legal rights. Read it.
It requires most disputes to go to individual arbitration instead of court, and it waives your right to a jury trial and to participate in a class action. You can opt out within 30 days.
Before starting any formal proceeding, you agree to email us at info@thebloommetric.com with a written description of the dispute and the relief you want. We will do the same for you. We both agree to try in good faith to resolve it informally for 30 days.
If we cannot resolve it, any dispute arising out of or relating to these terms or our services will be resolved by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable rules. Any in person hearing will be held in Seattle, Washington, USA, or the hearing may be held by video or on documents only at your election. The arbitrator's decision may be entered as a judgment in any court with jurisdiction.
Class action waiver
YOU AND WE EACH AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS.
Exceptions
- Either of us may bring an individual claim in small claims court if it qualifies.
- Either of us may seek injunctive relief in court to protect intellectual property or confidential information.
- Nothing here prevents you from filing a complaint with a government agency.
Your right to opt out
You may opt out of this arbitration and class waiver section by emailing info@thebloommetric.com with the subject line “Arbitration Opt Out” within 30 days of first accepting these terms. Include your name and the email address on your account. Opting out does not affect any other part of these terms and will not be held against you.
If any part of this section is found unenforceable, the rest remains in effect, except that if the class action waiver is found unenforceable, this entire section 24 does not apply.
25Governing law
These terms are governed by the laws of the State of Washington, without regard to its conflict of laws rules. Subject to section 24, any dispute not resolved by arbitration will be brought exclusively in the state or federal courts located in the State of Washington, and you consent to their jurisdiction.
If you are a consumer resident in the EEA or the UK, this section does not deprive you of the protection of mandatory consumer law in your country of residence or of your right to bring proceedings there.
26General provisions
- Entire agreement. These terms, our Privacy Policy, and any order form or written program agreement you sign are the entire agreement between us and replace any prior understanding, including anything said on a sales call. If an order form conflicts with these terms, the order form controls for that purchase.
- Changes. We may update these terms. We will post the revised version with a new date. For material changes we will give notice by email or a prominent notice on the site at least 14 days before they take effect. Changes do not apply retroactively to a dispute that already exists.
- Severability. If any provision is unenforceable, it is modified to the minimum extent necessary or severed, and the rest stays in effect.
- No waiver. If we do not enforce a provision, that is not a waiver of our right to enforce it later.
- Assignment. You may not assign these terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Independent parties. Nothing here creates a partnership, joint venture, employment, franchise, or agency relationship between us.
- Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, war, labor disputes, and failures of third party infrastructure.
- Electronic communications. You consent to receive communications from us electronically, and you agree that electronic acceptance, including clicking a checkbox or button, has the same legal effect as a handwritten signature.
- Headings. Section titles are for convenience and do not affect interpretation.
